罗莱家纺股权激励机制的研究

通过对股权激励的理论和罗莱家纺实际案例的研究,总结出股权激励是适合中国上市公司发展的一项好制度,但是仍然有许多需要完善的地方,中国上市公司不光要大胆采用这项制度,

摘 要:我国在2005年我国颁布了《上市公司股权激励管理办法》后,国内的上市公司纷纷开始实施股权激励。股权激励主要目的是激励员工,为了实现企业长期目标,提高管理水平,给公司管理人才部分股东权益,使管理者与公司利益达成一致。想要达到股权激励预期效果的一个重要因素就是制定合理的股权激励机制,这也是国内外学者普遍关注的问题。

本文共五大部分,第一部分阐述了研究背景、研究意义、国内外文献研究综述以及研究方法,第二部分对国内外相关股权激励的研究理论进行了梳理,第三部分分析我国上市公司股权激励实施现状,包括实施制度背景以及相关的法律法规。第四部分以罗莱家纺作为重点研究对象,首先介绍了罗莱家纺公司概况,然后分析了其实施股权激励的动因以及股权激励方案的主要内容,分析其股权激励方案实施结果,得出结论。第五部分针对罗莱家纺公司股权激励制度存在的问题,提出对策和建议。

ABSTRACT:  In 2005, China promulgated the "listed companies equity incentive management approach", the domestic listed companies have begun to implement equity incentive. The main purpose of equity incentive is to motivate employees, in order to achieve long-term goals, improve management levels, management personnel to the company, some shareholders rights and interests, so that managers and the interests of the company to reach an agreement. An important factor to achieve the expected effect of equity incentive is to formulate a reasonable equity incentive mechanism, which is also a common concern of scholars at home and abroad.

This paper consists of five parts. The first part describes the research background, research significance, domestic and international literature review, research methods, research the theory of the second part of the domestic and foreign equity incentive are summarized, the third part of the analysis of China's listed companies equity incentive implementation present situation, including the implementation of the institutional background and relevant laws and regulations. The fourth part of the Roley textile as the research object, first introduced the general situation of the Roley textile company, and then analyzes its main content of application of equity incentive motivation and equity incentive plan, analysis of the equity incentive plan implementation results, draw a conclusion. The fifth part aims at the problems existing in the equity incentive system of Roley's home textile company, and puts forward some countermeasures and suggestions.
